MERAKAN LITE — TERMS & CONDITIONS
Effective Date: 15 October 2026
Version 2026-10-15
These Terms & Conditions govern access to and use of the MERAKAN Lite service provided by MERAKAN LLC. MERAKAN Lite is a business-to-business service for AI-assisted extraction of invoice and receipt information, together with related record-keeping, reporting, export, and team-management functionality described in these Terms.
By creating an account, accepting these Terms, or using the Service on behalf of a business or organization, you represent that you have authority to bind that business or organization and agree that mandatory applicable law remains controlling where it cannot be varied by contract.
1. Company and Service
MERAKAN LLC, a Wyoming limited liability company ("MERAKAN", "we", "us"), operates the Merakan application, available at app.merakan.com, and the related website at merakan.com. "MERAKAN Lite" is the Merakan application as provided under the Lite plan described in these Terms, and is referred to in these Terms as the "Service". "You" and "Customer" mean the business or organization that creates an account for the Service, including the users acting on its behalf.
2. Acceptance of These Terms
You accept these Terms, and the policies incorporated into them, by checking the acceptance box when creating an account. MERAKAN records each acceptance as described in Section 29. Users invited into an account by its Owner are bound by these Terms through the Customer that invited them. By accessing or using the Service you confirm your agreement to these Terms. If you do not agree, you must not create an account or use the Service.
3. Business-to-Business Use
The Service is offered for business use by companies and organizations. By creating an account you represent that you use the Service for the benefit of a business or organization and not as a consumer, and that the business name you enter at setup belongs to that business. MERAKAN does not independently verify business status and relies on your representation.
4. Authority to Bind
The acceptance described in Section 2 is given by the person who creates the account, who thereby becomes its first Owner. By creating the account, that person represents and warrants that they have authority to bind the business or organization for which the account is created to these Terms, and that the users they invite into the account act on behalf of that business. The identifier of the person who created the account is kept in the acceptance record referred to in Section 29.
5. Eligibility
The person who creates the account, and every user invited into it, must be at least 18 years old and legally capable of entering into a binding agreement. MERAKAN does not independently verify age and relies on the account creator's representation and on the Customer's responsibility for its users. Geographic availability of the Service is governed by Section 6; whether your use of the Service is lawful under the laws that apply to you remains your sole responsibility.
6. Geographic Availability
The Service is offered only in the countries that appear in the phone country-code list at sign-up. The Customer’s country is determined by the account creator’s declaration at sign-up. MERAKAN may also use the country or region of the network connection used for sign-up as an availability and abuse-prevention signal, and may refuse sign-up where the Service is not offered.
The Service is not offered, marketed, or provided to businesses established in the European Union, the European Economic Area, the United Kingdom, or Switzerland under this version of the Service. MERAKAN may add, remove, or restrict countries prospectively for legal, compliance, security, operational, or commercial reasons.
Geographic availability is an operational offering decision and does not displace any mandatory law that applies to MERAKAN, the Customer, a transaction, or a data-processing activity. If the Customer is established in a country where the Service is not offered, or continued provision would create a material legal or compliance risk, MERAKAN may refuse, suspend, or terminate the Service in accordance with Section 54.
7. Sanctions and Export Compliance
You represent that the Customer, its owners and the users you invite are not listed on any applicable sanctions list, are not located in a territory subject to comprehensive sanctions, and do not act on behalf of a listed person or entity. You will comply with the export controls, sanctions and trade restrictions that apply to you and will not use the Service for any activity prohibited by them. MERAKAN may use risk-based screening, including sanctions, geographic, identity, account and transaction screening, and other compliance controls, where reasonably appropriate. MERAKAN may refuse, restrict, suspend or terminate access where necessary to comply with applicable sanctions, export-control or trade-restriction laws. Your representations supplement, and do not replace, MERAKAN’s own compliance obligations; a false representation is a material breach permitting termination under Section 54.
8. Account Creation
An account is required to use the Service. At sign-up, the account creator provides first and last name, date of birth, a work email address, a phone number with the international calling code of the selected business country, the business country and time zone, and, where requested, the business name. The account creator sets a password through a link sent to the registered email address, and the account is not activated before the required setup steps are completed. The 14-day free trial starts when the account is created; the account cannot be used until the password is set from the emailed link.
The information provided must be accurate and reasonably current. One email address may not be linked to more than one MERAKAN Lite business account. The Service may validate the consistency of the declared country, calling code, and network-location signal for availability and abuse-prevention purposes.
The Customer may update supported profile information through the Service. Changes to security-sensitive identity fields, including the registered email address or phone number, may require a verified request or additional authentication.
9. Account Security
You are responsible for keeping each user's sign-in credentials confidential, for assigning user roles (Owner, Editor, Viewer) appropriate to their permissions, and for the security of the devices and email accounts they sign in from. Credentials must not be shared between persons, because the account log attributes every action to the user whose account performed it. If you suspect unauthorized access, you must immediately change the affected password or remove the user from the account — which takes effect at once — review the "who did what" log, and then notify MERAKAN at the support address in Section 78. MERAKAN is not responsible for activity performed with valid credentials before such notice.
10. Customer Responsibility
You are responsible for all activity in your account, including activity by the users you invited with the roles you assigned them, and for their compliance with these Terms and the Acceptable Use Policy. The account Owner has the means to ensure this: assigning and changing user roles, removing any user with immediate effect, and reviewing the "who did what" log. Any action performed with valid credentials is deemed an action of the Customer. MERAKAN does not change user roles or remove users on the Owner's behalf except on a documented request from the Owner, verified through the account's registered email.
11. Service Scope
The Service provides AI-assisted extraction of the contents of supported invoice and receipt images (Section 12); results are presented to the user with a confidence indicator for each field, and nothing is saved until the user has reviewed and confirmed it. The Service also includes storing, organizing and searching confirmed records, recording expenses, a monthly report, export of invoice data to an Excel file, and team management with defined roles, in Arabic and English. All computed values in the Service — such as totals, net amounts and report figures — are calculated by software from the values the user confirmed, not by the AI. The Service is a web application used in a browser that requires an internet connection, and is not an app-store application. The Service is not accounting software; it keeps no general ledger, performs no bank reconciliation or tax computation, and provides no accounting, tax, legal, financial, audit or other professional advice.
12. Supported Files
The Service accepts image files in JPEG, PNG and WebP formats only, up to 10 MB per image. The Service determines the file type from the file's content, not from its name or extension, and rejects before any processing every file that does not meet these two conditions — including PDF files, documents, executable files and any file that is not an image in the stated formats; a rejected file is not counted against the usage allowance.
Images are used in the Service in two ways: (a) invoice and receipt images uploaded for extraction, each of which is processed as one invoice or receipt — multi-page files are not supported; and (b) images attached to a saved invoice — note images (up to three), sale-invoice attachments (up to five), and a documentation image for a manually entered invoice (up to two) — which are not extracted, are not counted against the usage allowance, and are subject to the same format and size conditions. Extraction quality depends on image quality as described in Section 19. MERAKAN may extend or change the supported formats or limits by notice within the Service.
13. Concurrent Processing
The Service keeps, for each account, an upload queue holding up to twenty images awaiting extraction at any one time; a queue slot is released when the image is extracted or deleted, and images whose extraction failed do not occupy a slot. Extraction may be requested for one image at a time or for all uploaded images at once; in the latter case, images are extracted up to what the usage limits in Sections 31 and 34 allow, and the user is informed of the remainder. Images are processed according to system availability and may be processed in sequence rather than simultaneously. Each uploaded image may be submitted for extraction up to three times. A failed attempt is not resubmitted automatically, and the image remains in the queue for a manual retry, while attempts remain, or for deletion. An uploaded image not saved as an invoice expires twenty-four (24) hours after upload and is deleted under Section 56.
14. Customer Data Ownership
"Customer Data" means what your account's users upload to or enter in the Service, and what the Service produces from it and your users confirm: invoice and receipt images, attached images, extracted fields once confirmed, notes, expenses, the business name, and the reports and export files derived from them. As between the parties, Customer Data remains yours, and nothing in these Terms transfers its ownership to MERAKAN. Customer Data does not include the Service's internal operational records — such as the usage-unit record, the pseudonymous repeat-trial marker (a keyed fingerprint, not the email address) and platform technical logs — which MERAKAN processes as described in the Privacy Policy.
15. Limited License to MERAKAN
You grant MERAKAN a limited, non-exclusive, worldwide license to host, store, back up, transmit, process and display Customer Data, including transmitting invoice and receipt images to the AI provider named in Section 22 to perform extraction, solely to the extent necessary to provide, operate, secure and maintain the Service and to support your use of it, in accordance with these Terms and the Privacy Policy. This license does not extend to any other use of Customer Data, nor to training or improving artificial-intelligence models, as set out in Section 16.
16. No AI Model Training
MERAKAN does not use Customer Data to train, fine-tune, or improve any artificial-intelligence model, whether general-purpose or custom, and does not grant a provider permission or instruction to do so. MERAKAN does not use Customer Data to improve its extraction instructions. MERAKAN may use aggregated operational statistics that do not identify a Customer or individual and contain no invoice content, such as extraction volumes, durations, error rates, and success rates, to operate, secure, and measure the Service.
Google’s then-current Vertex AI service terms and data-governance documentation state that Customer Data is not used to train or fine-tune managed AI/ML models without the customer’s prior permission or instruction. Provider-side short-lived caching or other operational processing described in the Privacy Policy or Subprocessors & Service Providers Policy does not authorize model training.
17. Customer Data Representations
You represent that you have, and will maintain, all rights, permissions, notices and lawful bases required to submit Customer Data (as defined in Section 14) to the Service and to instruct MERAKAN to process it as contemplated by these Terms, including any information about third parties — such as your customers, suppliers and team members — contained in uploaded documents, entered manually, written in notes or attached as images. This representation covers everything submitted through your account, including submissions by team members you invite to it. MERAKAN does not verify the accuracy of this representation or review the content of Customer Data before processing it, and relies on it in operating the Service.
18. Prohibited Data
You must not submit highly sensitive personal information, payment-card credentials, authentication secrets, or other data whose processing is prohibited by the Service or applicable law unless expressly authorized by MERAKAN in writing.
19. AI Processing
AI-assisted extraction may produce incomplete, inaccurate or defective results, particularly where image quality is poor. The Customer must review and verify AI-assisted output before relying on it for accounting, tax, financial, legal, operational or other consequential purposes. Where reliance requires professional judgment, the Customer should obtain review by an appropriately qualified professional. For this purpose, the Service displays the extracted data together with the applicable document for review purposes prior to execution of the save function; unsaved data shall not be incorporated into any lists, schedules, or reports. Inasmuch as aggregates and reports are programmatically computed based exclusively on saved data, any uncorrected error within the extracted data shall propagate to, and adversely affect, any output, report, or calculation derived therefrom.
20. No Professional Advice
MERAKAN does not provide accounting, tax, legal, financial, audit, or other professional advice through the Service. You remain responsible for decisions made using extracted or generated information.
21. Human Review
You are solely responsible for reviewing output, correcting errors, validating source documents, and determining whether output is fit for your intended purpose.
22. Third-Party AI Services
MERAKAN may use authorized third-party infrastructure and AI services, including Google Cloud and Vertex AI, to process Customer Data and provide the Service, subject to applicable contractual and data-processing controls.
23. Hosting and Storage
Customer Data is currently stored on Google Cloud infrastructure with primary database and file storage in the us-central1 region (Iowa, United States). This storage location does not mean that every processing activity occurs exclusively in Iowa.
AI-assisted extraction is performed through a Google Vertex AI global endpoint and may be processed in Google Cloud locations used by that service. Identity, network-protection, and operational-log processing may also involve distributed Google infrastructure. Further details are provided in the Privacy Policy, DPA, and Subprocessors & Service Providers Policy.
24. Privacy Policy
The Privacy Policy explains MERAKAN's collection, use, disclosure, retention, and protection of information and is incorporated into these Terms.
25. Data Processing Addendum
Where MERAKAN processes Customer Data as a processor or service provider on behalf of a Customer, such processing is governed by the Data Processing Addendum (DPA) published by MERAKAN or executed with the Customer, with effect from its publication or execution. Until a DPA is published or executed, such processing is governed by Sections 14 to 24 of these Terms and the Privacy Policy. The DPA does not expand the scope of processing set out in these Terms and does not derogate from their provisions on Customer Data ownership and the prohibition on model training.
26. Subprocessors
MERAKAN may use subprocessors and service providers identified in the Subprocessors & Service Providers Policy. The Subprocessors & Service Providers Policy is incorporated by reference to the extent applicable.
27. Security
MERAKAN maintains administrative, technical, and organizational measures designed to protect the Service and Customer Data, as further described in the applicable Privacy Policy and DPA.
28. Customer Security Responsibilities
You remain responsible for endpoint security, credentials, authorized users, internal access controls, source-document handling, and other security matters within your control. The Service is not a system of record for document retention; you must keep the originals of your invoices and documents for the periods required by the law applicable to you, regardless of what the Service retains or deletes under these Terms.
29. Electronic Acceptance Records
MERAKAN may record evidence of each contractual acceptance, including the applicable document version, acceptance timestamp, account and user identifiers, interface language, and a cryptographic fingerprint of the accepted Terms text. Each later acceptance may be recorded as a separate entry rather than overwriting the earlier record.
These records may be retained for the life of the account and for the period stated in the Privacy Policy after deletion for evidentiary, security, compliance, audit, and dispute-resolution purposes.
30. Material Changes and Re-Consent
MERAKAN may update these Terms from time to time. Where a change is material and re-consent is legally or operationally appropriate, MERAKAN may require renewed acceptance before continued use. Such acceptance is given by the account owner and applies to the account and all of its users. A requirement of renewed acceptance does not prevent you from exporting Customer Data or requesting account deletion in accordance with these Terms.
31. Free Trial
MERAKAN Lite currently offers a 14-day free trial without requiring a payment instrument. Trial usage is limited to 3 units per day and 42 total units.
32. Trial Abuse Prevention
MERAKAN may use reasonable identifiers and abuse-prevention measures to prevent repeated or fraudulent trial use. A trial-abuse marker may be retained for up to 24 months where reasonably necessary for this purpose, including after the account is deleted.
33. Trial Data Retention
After a free trial ends, or a subscription ends without renewal, customer content remains available in a read-only state, with export available, for 30 days; MERAKAN may extend this period by notice to the account Owner. Where paid subscriptions are available, subscribing during this period restores full access to the account and its data. If no subscription is in place when the period ends, the account is marked for deletion and its active data is deleted within 30 days thereafter, in accordance with Sections 56 to 58 and the Privacy Policy.
34. Subscription Plan
The current MERAKAN Lite web subscription is USD 20 per month exclusive of applicable taxes, and includes 500 units per monthly billing period, subject to a daily processing limit of 60 units. Included units renew at the start of each billing period, and unused included units do not carry over.
35. Units
Units are usage entitlements within MERAKAN Lite; one unit corresponds to one successful extraction of one document uploaded to the Service. Units have no cash value, are not money, and may not be redeemed for cash or transferred to another account except where MERAKAN expressly permits otherwise, without prejudice to the Billing & Refund Policy.
36. Add-On Packs
Current add-on packs are 500 units for $22, 300 units for $18, and 100 units for $12. Add-on units are a purchased balance that does not expire; they are consumed after the units included in the subscription are exhausted, and they carry over across billing periods. The plan's daily processing limit continues to apply to the use of add-on units. Add-on packs are available to active subscribers only. Availability, pricing, and applicable promotional terms may change prospectively without affecting a balance already purchased. Unused add-on units are forfeited when the account is deleted, as set out in the Billing & Refund Policy.
37. Unit Consumption
One unit is consumed for each successful AI extraction of a document, including a successful re-extraction of a document already extracted. No units are consumed for uploading alone, for failed extraction attempts, or for manual entry, attachments, or notes. A consumed unit is not refunded if the extracted data is not saved or is later deleted. The daily limit is calculated per calendar day in the time zone recorded for the account at creation. MERAKAN may apply reasonable technical controls to prevent abuse, duplicate processing, or circumvention of limits, including a maximum number of extraction attempts per document and a limited capacity for uploaded files awaiting processing.
38. Pricing and Taxes
Prices are stated in U.S. dollars in the applicable checkout or billing interface. For website transactions processed through Paddle, transaction taxes, duties, or similar charges may be calculated, collected, invoiced, and remitted by the applicable Paddle entity in its role as authorized reseller and Merchant of Record, where required. MERAKAN remains responsible for its own corporate, income, and other taxes that legally apply to MERAKAN.
39. Paddle Transactions and Merchant of Record
Paid transactions completed through Paddle are transactions with the applicable Paddle entity acting as MERAKAN’s authorized reseller and Merchant of Record for the transaction, subject to Paddle’s then-current Buyer Terms, Refund Policy, and checkout terms. The Customer purchases the applicable subscription or add-on through Paddle, while MERAKAN remains responsible for providing and licensing access to the Service under these Terms.
Paddle may process payments, recurring billing, receipts, transaction invoices, transaction-level refunds, and applicable transaction taxes. MERAKAN does not receive or store full payment-card numbers, security codes, or online-banking credentials.
40. Payment Authorization
By completing a paid checkout through Paddle, the Customer authorizes the applicable transaction and any recurring billing arrangement under the terms presented by Paddle at checkout. MERAKAN may rely on transaction and subscription status reported by Paddle to grant, continue, restrict, or restore paid access.
The material commercial terms displayed at checkout, including price, billing frequency, and renewal, form part of the applicable purchase transaction. These Terms continue to govern access to and use of MERAKAN Lite.
41. Renewal
Paid subscriptions renew on the applicable recurring billing schedule unless canceled before the next renewal date in accordance with the Billing & Refund Policy.
42. Cancellation
The Customer may cancel a website subscription through the cancellation mechanism made available in the Service, the applicable Paddle billing interface, or another method identified by MERAKAN. Cancellation prevents future renewals but does not, by itself, reverse a charge already processed.
Unless otherwise stated, paid access continues through the end of the already-paid billing period, after which the account becomes read-only with export available for the period described in Section 33. Cancellation does not delete the account or Customer Data; account deletion is a separate request under Section 55.
43. Refunds
Transaction-level refund rights for purchases processed by Paddle are subject to mandatory law and Paddle’s then-current Buyer Terms and Refund Policy. MERAKAN may approve a supplier-side refund or credit where appropriate and communicate that approval to Paddle; the movement of transaction funds is processed through Paddle.
Except where required by law, caused by a verified billing error, expressly approved by MERAKAN, or otherwise provided by Paddle’s applicable refund terms, processed subscription and add-on charges are generally non-refundable. Additional procedures are stated in the Billing & Refund Policy.
44. Promotional Offers
MERAKAN may offer discount codes, coupon codes, promotional codes, first-period discounts, seasonal offers, partner offers, customer-specific offers, trial extensions, or other promotional pricing. Each offer may have its own eligibility, duration, stacking, expiration, and renewal-price conditions.
45. Price Changes
MERAKAN may change prices prospectively. Material changes to recurring subscription pricing will be communicated through appropriate billing or service channels before they take effect where required.
46. Payment Failures
If a recurring payment fails, is declined, reversed, expires, or otherwise cannot be collected, Paddle may retry the charge or request updated payment information according to its systems and the transaction configuration. MERAKAN may provide a limited grace period as stated in the Billing & Refund Policy.
After the applicable grace period, paid functionality may become read-only with export available until payment status is resolved. Full access may be restored after MERAKAN receives confirmation of successful payment. MERAKAN may take other reasonable measures consistent with applicable law and the Billing & Refund Policy.
47. Chargebacks
You agree to contact MERAKAN regarding billing disputes before initiating a chargeback where reasonably possible. Fraudulent or abusive chargebacks may result in suspension or termination.
48. Acceptable Use Policy
The Acceptable Use Policy is incorporated into these Terms. Prohibited use may result in suspension, termination, removal of content, or other enforcement measures.
49. Prohibited Activities
You may not use the Service for unlawful activity, malware, credential theft, unauthorized access, security attacks, abusive automation, scraping, circumvention of limits, fraud, infringement, or other prohibited conduct described in the Acceptable Use Policy.
50. Reverse Engineering and Circumvention
Except to the extent a restriction is prohibited by applicable mandatory law, you may not reverse engineer, decompile, disassemble, probe, circumvent, or attempt to derive source code or undocumented interfaces of the Service. This Section does not prohibit good-faith reporting of a security vulnerability to support@merakan.com, provided the vulnerability is not exploited or publicly disclosed before it is addressed.
51. Automated Access
You may not use bots, scripts, crawlers, scraping systems, or undocumented APIs to access the Service in a manner that bypasses technical controls, usage limits, or intended interfaces.
52. Competitive Misuse
You may not use the Service or its non-public interfaces, outputs, or technical information to build, test, benchmark, or improve a competing service in a manner that violates these Terms or any applicable confidentiality obligation.
53. Suspension
MERAKAN may suspend or restrict access where reasonably necessary to address security threats, abuse, unlawful activity, payment issues, material breaches, or risks to the Service or other customers.
54. Termination by MERAKAN
MERAKAN may terminate an account or the Service relationship for material breach, unlawful use, persistent abuse, non-payment, security risk, or where continued provision is no longer commercially or legally practicable. Except where prohibited by law or where necessary to address a security risk, MERAKAN will provide a reasonable read-only and export period before data deletion in accordance with Section 33.
55. Termination by Customer
You may request deletion of your account from within the application or through the public account-deletion page at app.merakan.com/delete-account. A deletion request is subject to a seven-day withdrawal period during which the Owner may cancel the request; for a request made by email, the period starts when MERAKAN has verified the request with the account’s registered email address. After that period, deletion proceeds in accordance with Sections 56–58 and the Privacy Policy.
Where MERAKAN’s website subscription integration supports cancellation as part of account deletion, MERAKAN will request cancellation of the associated Paddle subscription. The Customer remains responsible for confirming that future renewals have stopped if Paddle or another billing interface requires a separate action. Termination does not eliminate obligations that accrued before termination.
56. Data Deletion After Termination
Unless otherwise required by law or applicable agreement: unsaved processing items expire after 24 hours and are removed by routine cleanup thereafter; invoice and customer content is deleted within 30 days after the end of the withdrawal period for an account-deletion request, or after the end of the read-only period under Section 33; and certain metadata, backups, and logs may remain for the periods stated in these Terms and the Privacy Policy.
57. Audit and Security Metadata
The account's audit log ("who did what") — which includes the content of invoices when saved or edited, for tamper-detection purposes — is retained for up to 24 months, after which invoice content is removed from the entries; the log is deleted in full when the account is deleted. Electronic acceptance records are retained for the life of the account and for up to 24 months after its deletion. Trial-abuse markers are retained in accordance with Section 32. Certain administrative or security logs of the platform may be retained for up to 400 days.
58. Backups
Deleted information may remain in backups for up to 97 days before routine backup expiration or overwrite, subject to technical and legal requirements.
59. Intellectual Property
The Service, software, interfaces, documentation, trademarks, designs, workflows, and other MERAKAN materials are owned by or licensed to MERAKAN and are protected by applicable intellectual-property laws.
60. Customer Feedback
If you provide suggestions, feedback, or ideas regarding the Service, MERAKAN may use them without restriction or compensation, provided that such use does not disclose your confidential information or Customer Data.
61. Confidentiality
Each party will protect the other party's confidential information using reasonable care and will use it only for legitimate purposes connected with the relationship, subject to customary exceptions for information that is public, independently developed, lawfully received, or required to be disclosed.
62. Third-Party Services
The Service depends on third-party infrastructure, identity, AI, communications, and payment services. MERAKAN is not responsible for an outage or failure solely attributable to a third party outside MERAKAN’s reasonable control, but this Section does not exclude responsibilities that applicable law or MERAKAN’s own contract expressly places on MERAKAN.
Current principal providers and their functions are described in the Subprocessors & Service Providers Policy.
63. Publicity
MERAKAN will not use your name, logo, or marks in public customer lists or marketing materials without your prior permission, unless otherwise expressly agreed in writing.
64. Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, governmental action, widespread infrastructure failures, internet disruptions, labor disruptions, or third-party failures.
65. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
66. AI Accuracy Disclaimer
MERAKAN does not warrant that AI extraction, classification, interpretation, or other output will be accurate, complete, current, or suitable for any particular purpose.
67. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERAKAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERAKAN’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THE CUSTOMER FOR MERAKAN LITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
Nothing in these Terms excludes or limits liability, remedies, or rights to the extent they cannot lawfully be excluded or limited under mandatory applicable law.
68. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MERAKAN and its officers, directors, employees, and agents from claims, losses, liabilities, damages, costs, and expenses arising from Customer Data, unlawful use, infringement, violation of the Acceptable Use Policy or these Terms, or breach of your representations and obligations.
69. No Waiver
MERAKAN's failure to enforce any provision is not a waiver of its right to enforce that provision later.
70. Assignment
You may not assign or transfer these Terms or your account without MERAKAN's prior written consent, except where mandatory law permits otherwise. MERAKAN may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.
71. Severability
If any provision is held invalid or unenforceable, it will be modified or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
72. Entire Agreement and Order of Precedence
These Terms, together with the incorporated policies to the extent published and applicable and any negotiated written agreement, constitute the agreement governing the Service. In the event of conflict: mandatory applicable law controls; then an expressly negotiated written agreement; then the DPA for covered data-processing matters, provided that the DPA does not expand processing beyond these Terms or derogate from Customer Data ownership or the no-training commitment; the Billing & Refund Policy for MERAKAN billing administration; the Service Availability & Support Policy for availability and support matters; the DMCA & Copyright Policy for copyright-notice procedures; the Acceptable Use Policy for prohibited use; the Privacy Policy for privacy disclosures and practices; and these Terms for matters not otherwise specifically governed.
The Subprocessors & Service Providers Policy is informational and supplements the DPA. Paddle’s Buyer Terms, Refund Policy, and checkout terms independently govern the payment transaction between the Buyer and the applicable Paddle entity.
73. Governing Law and Dispute Resolution
These Terms and any dispute between MERAKAN and the Customer arising out of or relating to these Terms or the Service are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except to the extent mandatory law requires otherwise. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of the arbitration agreement in this Section to the extent applicable.
Before filing arbitration, a party must provide written notice describing the dispute and requested relief and allow at least 30 days for good-faith informal resolution, unless urgent injunctive or protective relief is reasonably necessary.
Any dispute not resolved informally will, to the maximum extent permitted by law, be finally resolved by binding arbitration administered by the American Arbitration Association under its then-current Commercial Arbitration Rules and Mediation Procedures, by one arbitrator. The legal seat of arbitration will be Sheridan County, Wyoming, and the arbitration will be conducted in English. The arbitrator may permit remote hearings or document-only procedures where appropriate under the applicable rules.
Either party may seek temporary, preliminary, or injunctive relief from a court of competent jurisdiction to protect intellectual property, confidential information, account security, or the integrity of the Service, and judgment on an arbitration award may be entered in any court with jurisdiction.
74. Class and Jury Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. FOR DISPUTES SUBJECT TO ARBITRATION, EACH PARTY WAIVES TRIAL BY JURY.
This Section does not waive any right or procedure that cannot lawfully be waived.

80. Changes to These Terms
MERAKAN may update these Terms to reflect changes to the Service, law, security practices, business operations, or other legitimate reasons. The updated version will identify its effective date. Where required, MERAKAN will provide notice and obtain renewed acceptance.
